These Terms of Service ("Terms") govern your access to and use of the APEX AI platform ("APEX," "Service") operated by APEX AI ("we," "us," or "our"). By creating an account or using our Service, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
APEX provides an AI-powered business automation platform that includes tools for lead capture, email marketing, appointment booking, customer support, review management, social media content, ad copy generation, SEO content, and business analytics. The platform is powered by third-party AI services including Anthropic's Claude API.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
You must be at least 18 years old and have the legal authority to enter into contracts to use APEX. By using the Service, you represent that you meet these requirements.
APEX is a business tool. You agree to use it only for lawful business purposes.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@apexaihelp.com if you suspect unauthorized access.
One account per business. You may not share, sell, or transfer your account to another party.
APEX offers monthly subscription plans. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.
Plans are billed monthly in advance. There are no setup fees or long-term contracts.
Payments are processed securely by Stripe. We do not store your full payment card information.
We may offer a free trial period for new accounts. After the trial ends, your account will require an active subscription to continue accessing the platform. We will notify you before the trial ends and before any charge is made.
You may cancel your subscription at any time through the billing portal in your account settings. Cancellation takes effect at the end of the current billing period — you retain access until that date.
We do not offer refunds for partial months. If you cancel mid-month, you retain access through the end of the billing period already paid.
In cases of technical failure attributable to APEX that materially impairs your use of the Service, please contact us at support@apexaihelp.com and we will evaluate refund requests on a case-by-case basis.
You agree to use APEX only for lawful purposes. You may not:
We reserve the right to suspend or terminate your account immediately if you violate these terms.
You retain full ownership of all data you upload to APEX — your business information, leads, contacts, and any content you generate using the platform. You grant APEX a limited license to store and process this data solely to provide you the Service.
You are responsible for ensuring you have the right to collect and use any personal data you enter into APEX (such as your customers' contact information). You must comply with all applicable privacy laws in your jurisdiction.
APEX uses Anthropic's Claude AI to generate content on your behalf. You acknowledge that:
APEX integrates with third-party services including Stripe (payments), SendGrid (email), Twilio (SMS), Anthropic (AI), Supabase (database), and Vercel (hosting). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or acts of these third-party providers.
APEX, its logos, design, and underlying technology are the intellectual property of APEX AI and protected by applicable law. You may not copy, reproduce, or create derivative works based on our platform without our express written permission.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, APEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, APEX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to APEX in the three months preceding the claim.
You agree to indemnify and hold harmless APEX AI, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts located in Dallas County, Texas.
We may update these Terms from time to time. We will notify you of material changes via email or a notice in the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
